The deal between you and us
By using this website or hiring us for any of our services, you're agreeing to a few simple things. We've tried to write them the way we'd explain them across the counter — please read, and email us if anything is unclear. One note up front: ShepherdCloud is currently a small team, not yet a registered company. These Terms are between you and the team operating under the ShepherdCloud name, and the team is the responsible party until registration completes.
1. Agreement
These terms ("Terms") govern your use of the ShepherdCloud website at shepherdcloud.work and any service, product, or platform we provide under the ShepherdCloud, ShepCard, or shepherdcloud.org names. By using the site or hiring us, you accept these Terms.
ShepherdCloud is a small team, not yet a registered company. Wherever these Terms say "we", "us" or "ShepherdCloud", they mean the team operating under the ShepherdCloud name. Company registration is in progress. Until then, the individual members of the team are jointly responsible for the obligations in this document.
If you don't agree, please don't use the site or our services. Close the tab and have a nice day.
2. What we do
We're a small team of technologists based in Nungua, Accra — not a faceless agency, not a multinational. The work we do includes, but is not limited to:
- Printing (business cards, flyers, banners, large-format, T-shirt transfers)
- Picture framing and canvas stretching
- Smart home design, installation, and accessories
- Networking (home Wi-Fi, office LANs, point-to-point links)
- Software development (web apps, mobile apps, internal tools, integrations)
- Website development (marketing sites, e-commerce, web apps)
- Cyber security (audits, endpoint hardening, incident response, phishing drills)
- Cloud hosting, server creation, and managed cloud services (AWS, Azure, GCP)
- Data analysis (dashboards, forecasting, reporting)
- Geographical Information Systems (asset mapping, field data, drone-to-map)
- Media and photography (product, event, brand portraits, short-form video)
- Computing classes (in-person, in our Nungua Office or online)
- ShepherdCloud Church Management — the platform at shepherdcloud.org
- ShepCard — our digital business card product (launching soon)
Specific deliverables, timelines, and fees for paid work are set out in a separate quote, proposal, or written agreement. If we haven't given you one, the defaults in these Terms apply.
3. Using the website
You agree to use the website for lawful purposes only and in a way that doesn't infringe the rights of anyone else or restrict their use of the site. In particular, you agree not to:
- Submit false, misleading, or fraudulent information through our contact form.
- Attempt to access non-public areas of the site without permission.
- Probe, scan, or test the security of the site, except for legitimate security research you've told us about in advance.
- Scrape, mirror, or republish the site's content at scale without our written permission.
- Submit content through the form that you don't have the right to submit (e.g. someone else's personal data without consent).
We may block access to the site (in whole or in part) for anyone who breaks these rules.
4. Terms specific to services we provide
The following sections apply when you hire us for a paid service. Where a written agreement contradicts these Terms, the written agreement wins.
4.1 Quotes and payment
Quotes are valid for 30 days unless we say otherwise in writing. For most jobs we charge 50% upfront and 50% on delivery. For ongoing work (hosting, managed services) we invoice monthly in advance. Late payment: we add a 5% surcharge after 14 days, and we may pause work or suspend services after 30 days.
4.2 Cancellations and refunds
You can cancel before we've started work for a full refund minus any non-recoverable costs we've already incurred (stock, time, third-party licences). Once work has started, we refund proportional to the work not yet done, minus a 15% admin fee. For printing and framing jobs specifically, once stock has been cut or printed, the job is non-refundable.
4.3 Print, framing and physical goods
We check files and proofs before printing. By approving a proof you accept responsibility for any errors (spelling, layout, colour) that were in the file you supplied. We don't refund for errors that were visible in an approved proof. Colour on screen differs from colour in print; we work to industry tolerances (ISO 12647-2 for offset, standard sRGB for digital) and don't refund for in-tolerance variation.
4.4 Smart home and on-site installations
We'll agree the scope in writing before any drilling, wiring, or permanent installation. You confirm that you own the premises or have the owner's permission. We carry liability insurance for accidental damage during installation, but we don't cover pre-existing issues, hidden wiring, or damage caused by third-party equipment you asked us to integrate.
4.5 Software, websites, and cloud work
We hand over the source code, build artefacts, and credentials at the end of a project unless we agree otherwise. We retain the right to reuse generic, non-client-specific code (e.g. our internal boilerplate, utility libraries) in future projects. We provide a 30-day bug-fix warranty after handover for issues caused by our code. After that, fixes are billable.
4.6 Managed cloud, hosting, and security
For managed services, we keep logs of incidents, changes, and access for the duration of the contract plus 12 months. We follow a written change-management process. We're not liable for outages caused by the underlying cloud provider (AWS, Azure, GCP) outside of our control, but we'll work the problem and pass through any service credits we successfully claim.
5. ShepherdCloud and ShepCard platforms
5.1 shepherdcloud.org (church management)
The ShepherdCloud church management platform is a separate product with its own terms, published at shepherdcloud.org. When you sign up there, those terms govern, and they take precedence over anything in this document.
5.2 ShepCard (digital business cards)
ShepCard is launching soon. When it launches, its own subscription terms will govern use of the service. Until then, you can register interest through our contact form; we won't charge you anything, and we won't add you to any marketing list without your consent.
6. Intellectual property
Everything on this website — the design, copy, code, logo, and photos — is owned by ShepherdCloud or our licensors, except where we've credited someone else. You can read it, link to it, and quote it briefly with attribution. You can't reproduce it, redistribute it, or build a competing product on top of it without our written permission.
When you give us content (logos, photos, copy for a website we're building, files for printing), you confirm that you own it or have the right to use it, and you give us a non-exclusive licence to use it for the project we agreed to.
7. Disclaimers (the legal bit)
The website is provided "as is" and "as available." We try hard to keep it accurate and up to date, but we don't promise that the information on it is complete, current, or free from errors.
For paid services, we commit to performing them with reasonable skill and care, in line with industry standards. Beyond that, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of liability
To the maximum extent permitted by Ghanaian law, our total liability to you for any claim arising out of or related to these Terms, the website, or our services is limited to the amount you actually paid us in the 12 months before the claim, or GH₵ 5,000, whichever is lower.
We're not liable for indirect, incidental, special, or consequential damages, including lost profits, lost data, or business interruption, even if we've been advised of the possibility.
Nothing in this section limits liability that cannot be excluded by law, such as liability for death or personal injury caused by negligence, or for fraud.
9. Indemnity
You agree to indemnify and hold us harmless from any third-party claim arising out of (a) content you submitted through our form or handed to us for a project, (b) your breach of these Terms, or (c) your wilful misconduct.
10. Suspension and termination
We may suspend or terminate your access to the website, the ShepherdCloud platform, or the ShepCard service at any time if you materially breach these Terms and don't fix the breach within 14 days of us telling you about it. For managed services, either of us can end the relationship with 30 days' written notice.
11. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top tells you when. For material changes, we'll make a reasonable effort to notify active customers by email at least 14 days before the new terms take effect.
12. Governing law and disputes
These Terms are governed by the laws of the Republic of Ghana. Any dispute will first go to good-faith negotiation. If that fails, the dispute will be resolved by arbitration in Accra under the Arbitration Act, 2020 (Act 1024), or, where the dispute doesn't qualify for arbitration, in the courts of Accra.
If any part of these Terms is held to be unenforceable, the rest still applies.
